1. Description of Services

BoardForge provides professional engineering services in three main areas:

  • Schematic Design — Creation or review of electronic circuit schematics based on your requirements or existing concepts.

  • Firmware Development — Design, coding, testing, and debugging of embedded firmware/software for microcontrollers, SoCs, and related hardware.

  • PCB Design & Layout — Conversion of schematics into production-ready PCB layouts, including component placement, routing, stack-up definition, and generation of manufacturing files (Gerbers, drill files, BOM, pick-and-place, etc.).
     

Services are performed on a project basis according to a written scope, quote, or statement of work. Any work outside the agreed scope will be quoted separately as a change order.
 

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information, schematics, requirements, component choices, mechanical constraints, and any existing code or designs.

  • Respond promptly to requests for clarification, feedback, or approvals.

  • Review and approve deliverables within agreed timeframes.

  • Ensure that the final product complies with all applicable safety, regulatory, and certification requirements.

  • Obtain any necessary testing, certification, or regulatory approvals for your end product.
     

Delays or additional costs caused by incomplete, inaccurate, or changing information you provide are your responsibility.
 

3. Project Scope, Revisions & Change Orders

  • A defined scope of work will be agreed upon before work begins.

  • A reasonable number of revision rounds is included as specified in the quote.

  • Significant changes to requirements, features, or scope after work has started will be treated as a change order and may result in additional charges and schedule adjustments.

  • We reserve the right to pause work until change orders are approved in writing.
     

4. Payment Terms

  • A deposit (commonly 40–50% of the total quoted amount) is required before work commences.

  • Remaining payments are due according to agreed milestones or upon delivery of final deliverables.

  • All invoices are due within the payment terms stated on the invoice (typically Net 7 or Net 14).

  • Late payments may result in work being paused and will accrue interest at the maximum legal rate.

  • We may require full payment before releasing final source code, Gerbers, or other deliverables.
     

5. Intellectual Property Rights

  • Upon full payment, you own the final deliverables created specifically for your project (schematics, PCB layout files, and firmware binaries/source code as agreed).

  • BoardForge retains all rights to its pre-existing tools, libraries, code modules, design methodologies, and know-how.

  • For firmware: Unless otherwise agreed in writing, we will deliver the complete source code upon full payment. You may modify and use the code for your product.

  • We may showcase anonymized, non-confidential work in our portfolio unless you request otherwise in writing.
     

6. Firmware Development Specific Terms

  • Firmware is developed and tested to the best of our ability within the agreed scope and test cases you provide.

  • We will provide a reasonable bug-fix period (typically 30–60 days after final delivery) for issues directly caused by our code, at no additional charge.

  • Ongoing maintenance, feature additions, or support beyond the bug-fix period is provided under a separate support agreement or hourly rate.

  • You are responsible for final system-level testing, validation, and any regulatory or safety certification of the complete hardware + firmware system.
     

7. Delivery, Acceptance & Risk of Loss

Deliverables are provided electronically (files via email, cloud link, or repository). Risk of loss transfers to you upon successful delivery of the files. You are responsible for making backup copies.

You have 7 days after delivery to notify us in writing of any material defects in the deliverables as defined in the scope. After this period, the deliverables are deemed accepted.
 

8. Warranties and Disclaimers

All Services and deliverables are provided “AS IS” without any warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • Firmware or designs will be completely error-free.

  • The hardware will perform to any specific electrical or environmental specifications beyond what was explicitly tested and documented.

  • The final product will pass any regulatory, safety, or certification testing.

Any limited warranty that cannot be disclaimed is limited to the shortest duration and narrowest scope permitted by law.
 

9. Limitation of Liability

To the fullest extent permitted by law, BoardForge’s total liability for any claim related to the Services shall not exceed the total fees you paid for the specific project.

We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, cost of substitute products, or damages arising from use of the deliverables in your products.
 

10. Refund and Cancellation Policy

Because our services (schematic design, firmware development, and PCB layout) are custom engineering work:

  • Work is generally non-refundable once it has begun.

  • If you cancel before any work starts, you may receive a refund of payments made minus a reasonable administrative fee.

  • If you cancel after work has started, you are responsible for payment for all work performed up to the date of cancellation.

  • Refunds, if any, are issued at BoardForge’s sole discretion and only in exceptional cases (e.g., extended delays caused solely by us).

A more detailed refund policy is available upon request.
 

11. Termination

Either party may terminate a project with written notice. Upon termination, you must pay for all work completed to date, and we will deliver any completed files upon receipt of payment.
 

12. Confidentiality

We will keep your proprietary designs, schematics, firmware requirements, and business information confidential and will not disclose them to third parties except as needed to perform the Services or as required by law.
 

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the state or federal courts located in San Diego County, California.
 

14. Entire Agreement & Modifications

These Terms, together with any quote, scope of work, or written agreement, form the complete agreement between you and BoardForge. No change is valid unless agreed in writing by both parties. We may update these Terms; the version in effect when you engage our Services applies to that engagement.
